These Terms of Service ("Terms") form a legally binding agreement between Faka Technology LLC, a Delaware limited liability company ("Company," "we," or "us"), and the commercial client or institutional counterparty ("Client") using our website or engaging our professional technology services.
Faka Technology LLC is a legally organized limited liability company registered in the State of Delaware, United States of America.
All software engineering, advisory, API infrastructure, reconciliation, and remote infrastructure services are delivered digitally. The Company does not manufacture, warehouse, stock, or distribute physical goods or retail merchandise.
Specific engagements are governed by a Master Services Agreement and project-specific Statement of Work (SOW). If the SOW conflicts with these Terms, the executed SOW controls for that project.
Projects are divided into phases with objective technical deliverables. Digital acceptance, written approval, or payment of a milestone invoice constitutes binding acceptance of that phase.
Faka Technology LLC performs reasonable Know Your Business (KYB) validation and maintains Anti-Money Laundering (AML) standards for institutional counterparties before formal engagement.
Clients warrant that all settlement funds originate from lawful commercial activity. The Company may retain audit trails connecting technical delivery, invoices, and bank settlement records.
Because services are custom and resource-intensive, technically accepted and settled milestones are strictly non-refundable.
Unless an SOW states otherwise, either party may terminate an engagement with thirty (30) days' written notice. The Client remains liable for completed work and committed resources through the effective termination date.
Upon final settlement, custom software code, bespoke architecture, and project configuration materials created specifically for the Client transfer to the Client, subject to the Company's retained rights in pre-existing Background IP and general tooling.
Both parties must protect proprietary information with reasonable care and must not disclose client identities, infrastructure details, or project data except for service delivery or legal compliance.
These Terms are governed by the laws of the State of Delaware, United States of America, without regard to conflict of law principles.
